Terms and conditions

These Terms of Service (“Terms”) govern your access to and use of the services provided by Biddwell Technology Inc., doing business as Stable (“Stable,” “StableOS,” “Stable.work,” “we,” “us,” or “our”).

By creating an account, subscribing to, or using the Services, you agree to these Terms.

1. Definitions

“Company,” “Stable,” “we,” “our,” or “us” refers to Biddwell Technology Inc., a corporation incorporated in British Columbia, Canada.

“User,” “you,” or “your” refers to the individual or entity accessing or using the Services.

“Services” means the StableOS platform, Stable.work platform, and all related features, APIs, tools, AI systems, integrations, and functionality.

“Service Data” means any data uploaded, transmitted, or processed by you through the Services, including audio, video, transcripts, CRM data, documents, and communications.

2. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements to use the Services.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration

To access the Services, you must create an account with accurate and complete information.

You are responsible for:

• Maintaining the confidentiality of login credentials

• All activity occurring under your account

• Ensuring users under your organization comply with these Terms

Accounts may not be shared unless explicitly permitted under your subscription plan.

4. Subscription, Fees, and Payment

Access to certain features requires payment of subscription fees.

• Fees are billed through our third-party payment processor.

• All fees are non-refundable unless otherwise agreed in writing.

• Failure to pay may result in suspension or termination of access.

We may modify pricing with reasonable notice prior to renewal.

5. Use of the Services

You agree to use the Services only for lawful purposes.

You may not:

• Reverse engineer or attempt to extract source code

• Interfere with system integrity or security

• Circumvent access controls

• Use the Services to violate privacy or data protection laws

• Upload malicious code or harmful content

You are solely responsible for the legality and accuracy of all Service Data you upload.

6. Audio and Video Consent

If you upload audio or video recordings, you represent and warrant that:

• You have obtained all necessary consents required by applicable law

• You have authority to process and transmit such recordings

Stable is not responsible for obtaining participant consent on your behalf.

7. Service Data and Ownership

You retain ownership of all Service Data.

By using the Services, you grant Stable a limited, non-exclusive license to:

• Host

• Process

• Analyze

• Transmit

Service Data solely for the purpose of providing and improving the Services.

Stable does not claim ownership of your data.

8. AI-Generated Outputs

The Services use artificial intelligence to generate structured insights, summaries, recommendations, and other outputs.

You acknowledge and agree that:

• AI outputs may contain inaccuracies

• AI outputs are provided for informational purposes only

• You are responsible for reviewing and validating outputs before relying on them

Stable makes no guarantees regarding the accuracy or completeness of AI-generated results.

9. Model Improvement

Stable may use aggregated, anonymized, or de-identified data to:

• Improve system performance

• Enhance model accuracy

• Develop new features

Stable will not intentionally use identifiable customer data to train shared public models without appropriate safeguards.

10. Confidentiality

We will treat Service Data as confidential and will not disclose it except:

• As required to provide the Services

• To authorized service providers under confidentiality obligations

• As required by law

11. Intellectual Property

All software, systems, AI models, design elements, branding, and related materials are owned by Stable or its licensors.

You are granted a limited, non-exclusive, non-transferable license to use the Services during your subscription term.

You may not reproduce, resell, distribute, or commercially exploit the Services without written consent.

12. Service Availability

We strive to maintain reliable Services but do not guarantee uninterrupted availability.

We may:

• Modify features

• Improve functionality

• Suspend access for maintenance

• Discontinue portions of the Services

without liability.

13. Beta Features

Certain features may be labeled as “Beta” or “Preview.”

Beta features:

• May be incomplete

• May contain errors

• May be modified or removed at any time

Beta features are provided “as is” without warranties.

14. Disclaimer of Warranties

The Services are provided “as is” and “as available.”

To the maximum extent permitted by law, Stable disclaims all warranties, express or implied, including:

• Merchantability

• Fitness for a particular purpose

• Non-infringement

• Accuracy of AI outputs

15. Limitation of Liability

To the fullest extent permitted by law:

Stable is not liable for indirect, incidental, special, consequential, or punitive damages.

Stable’s total liability for any claim arising out of or related to the Services is limited to the total fees paid by you in the twelve (12) months preceding the claim.

16. Indemnification

You agree to indemnify and hold Stable harmless from claims arising out of:

• Your misuse of the Services

• Your violation of law

• Your failure to obtain required consents

• Your uploaded content

17. Termination

We may suspend or terminate your access if you:

• Breach these Terms

• Fail to pay fees

• Misuse the Services

You may cancel your subscription according to your plan terms.

Upon termination, your right to access the Services ceases.

18. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein.

Any disputes shall be resolved in the courts of British Columbia, Canada.

19. Changes to These Terms

We may update these Terms from time to time.

Continued use of the Services after updates constitutes acceptance of the revised Terms.
